GREEN COFFEE EXPORT SALES AGREEMENT
Terms and Conditions
By placing an order through this website, the Buyer agrees to the following Terms and Conditions governing the purchase and export of green coffee beans from the Republic of Panama.
1. Seller Information
This sale is conducted by AGRO NEGOCIOS DE TIERRAS ALTAS, SAT – Hidalgo Estate (“Seller”), a coffee producer and exporter located in the Republic of Panama.
2. Product Description
The Seller agrees to sell and export green coffee beans (“Product”) as described in the product listing, quotation, invoice, or purchase order accepted by the Buyer.
Coffee characteristics including moisture content and cup profile may vary slightly due to the natural nature of agricultural products.
3. Pricing
All prices are expressed in United States Dollars (USD) and are quoted on a price-per-kilogram (KG) basis unless otherwise stated.
The total purchase price shall include:
- Price of green coffee per KG;
- Packaging costs, if applicable;
- Export documentation and handling fees, if applicable;
- Shipping and freight charges, if applicable.
4. Shipping and Delivery
The Seller will arrange shipment of the Product according to the shipping method selected or agreed upon with the Buyer.
Estimated delivery times are provided for reference only and are not guaranteed. The Seller shall not be liable for delays caused by carriers, customs authorities, port congestion, force majeure events, or circumstances beyond the Seller’s reasonable control.
5. Export and Import Costs
Unless otherwise agreed in writing, ALL export, import, customs, duties, taxes, brokerage fees, tariffs, inspections, permits, and any other governmental or regulatory charges applicable in the destination country shall be the sole responsibility of the Buyer.
The Buyer is responsible for complying with all import regulations and requirements in the destination country.
6. Transfer of Risk
Risk of loss or damage to the Product transfers to the Buyer upon delivery of the shipment to the carrier or freight forwarder in Panama, unless otherwise specified in the applicable Incoterm agreed between the parties.
7. Payment Terms
Full payment must be received before shipment unless alternative payment terms have been approved in writing by the Seller.
The Seller reserves the right to suspend or cancel any order in the event of non-payment or suspected fraud.
8. No Cancellation or Return
Due to the perishable and agricultural nature of coffee products, all sales are final once the order has been processed or shipped.
Returns, refunds, or cancellations will not be accepted except in cases of proven shipment error by the Seller.
9. Quality Claims
Any claim regarding quality, quantity, or condition of the Product must be submitted in writing within five (5) calendar days after delivery, accompanied by supporting evidence.
Failure to provide timely notice shall constitute acceptance of the Product by the Buyer.
10. Limitation of Liability
The Seller’s liability shall be limited exclusively to the value of the affected Product purchased by the Buyer.
Under no circumstances shall the Seller be liable for indirect, incidental, punitive, or consequential damages, including loss of profits or business interruption.
11. Force Majeure
The Seller shall not be held responsible for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, crop disease, labor disputes, governmental actions, transportation disruptions, war, pandemics, or acts of God.
12. Compliance with Laws
The Buyer agrees not to resell, distribute, or use the Product in violation of any applicable laws or regulations in the destination country.
13. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the Republic of Panama.
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Panama, unless otherwise agreed in writing.
14. Electronic Acceptance
By completing the purchase and checking the acceptance box during checkout, the Buyer acknowledges having read, understood, and agreed to these Terms and Conditions, which constitute a legally binding electronic agreement.
